Just Dial to offer Retail Discount, Safety Net
Just Dial, which is coming up with an IPO from May 20, 2013, has announced that the company will offer a Retail Discount and a Safety Net mechanism for the benefit of investors

The IPO, which received a CRISIL IPO Grade 5/5 indicating strong fundamentals, will remain open for subscription till May 22, 2013 and consists of shares having Face Value of Rs.10/- each, offered in a price band of Rs.470/- to Rs.543/- per equity share. CRISIL assigns IPO grading on a scale of IPO Grade 5 to IPO Grade 1, with IPO Grade 5 indicating strong fundamentals and IPO Grade 1 indicating poor fundamentals. (It may be however, be noted that this grade is not an opinion on whether the issue price is appropriate in relation to the issue fundamentals)

Just Dial has offered a discount of 10% on the floor price to the retail individual investors. Just Dial has also announced that it will offer a safety net mechanism which will be available to all retail individual investors applying in IPO for amount up to Rs.50,000. The safety net would be triggered in case the price of the share fall over 20% from the issue price

Retail Individual Investors would be entitled to a discount in the upcoming Initial Public Offer of Bharti Infratel from the Bharti Group. The price band for the IPO is fixed at Rs.210/- to Rs.240/- per equity share. The IPO would run between December 11, 2012 and December 14, 2012

Bharti Infratel Ltd. is expected raise as much as Rs.4,530 crore through the divestment of a 10% stake. According to Bloomberg, the largest IPO prior to this was of state-run Coal India Ltd, which raised some $3.5 billion in October 2010. Bharti Infratel is a provider of tower and related infrastructure. Bharti Infratel and Indus currently provide access to their towers primarily to wireless telecommunications service providers. Bharti Infratel's and Indus's three largest customers are Bharti Airtel (together with Bharti Hexacom), Vodafone India and Idea Cellular

The discount would be 5% on the final issue price subject to Rs.10 per equity share. In India, Bharti Infratel has over 34,000+ towers, across 18 states, and 11 Telecom circles

Tree House Education Limited has fixed the Issue Price of its recent IPO at the lower end of the Price Band of the IPO. The Issue Price is fixed at Rs.135/- per equity share, while the price band of the IPO was Rs.135/- to Rs.153/- per equity share

Tree House Education Limited intends to utilise the proceeds for expansion of pre-school business; acquisition of office space, procurement of exclusivity rights to provide educational services and construction of infrastructure for educational complexes in Rajasthan and Gujarat; and repayment of loan. Tree House Education IPO has been subscribed 0.68 times on an overall basis. The QIB category has received bids for 14,81,440 Equity Shares out of 29,51,267 reserved for the category, thus making the category bid 0.50 times. The subscription in the category has remained unchanged from Day 1

Tree House Education IPO consists of Public Issue of 84,32,189 Equity Shares of Rs.10/- each (including anchor Portion of 12,64,828 Equity Shares). Retail Investors planning to invest in IPOs have a bit of good news coming their way with the market regulator Securities and Exchange Board of India (SEBI) announcing vide a circular that discounts being offered to retail investors in a public issue should be adjusted for at the time of filing the application itself

Many companies raising capital in the market, particularly Government-owned companies and PSUs, offer a discount to Retail Investors and Eligible Employees. However, it is to be noted that the discount is offered on the final issue price of the IPO or the FPO, which is generally fixed after the issue closes for subscription. Consequently, what happens is that although there is a discount declared for the Retail Investors, they still have to pay in or block the entire amount at the time of applying for the IPO or FPO. The discount is given at the time of allotting the shares and consequently, the extra amount is refunded (or released in case of ASBA). This, however, will not be the same with the aforesaid circular coming into picture. Retail Investors will now be able to avail this discount at the time of making the payment itself while applying in any IPO or FPO

This rule would be applicable on public offer documents filed on or after June 15, 2011. What the move would also mean for the Retail Investors is that now for the same amount of money, the Retail Investors would be able to buy slightly higher number of shares in an IPO or FPO

The Issue Price for Equity Shares offered under Power Finance Corporation (PFC) Follow-on Public Offer (FPO) is set at Rs.203/- per equity share, which is the upper end of the price band of Rs.193/- to Rs.203/- per equity share

Retail Investors and Eligible Employees will get a 5% discount on the Issue Price, which means that these categories of investors would get equity shares at Rs.192.85 per equity share. Power Finance Corporation (PFC) FPO, which closed for subscription on Friday, May 13, 2011 was subscribed 4.34 times on an overall basis and 2.00 times in the Retail Category. The price band for the IPO of Punjab and Sind Bank, the only unlisted state-owned bank is fixed at Rs.113/- to Rs.120/- per equity share.

Retail Investors would be entitled to a discount of 5% on the final issue price which will be decided after the closure of the issue. This implies that if the final issue price is decided at the upper end of the price band, then Retail Investors would get a discount of Rs.6/- per share and a discount of Rs.5.65 per share in case the price is decided at the lower end of the price band

Currently, 100% of the stake in Punjab & Sind Bank is owned by Government of India, which it plans to divest to the extent of about 18 percent, thus reducing its holding to around 82 percent

The Issue Price for the Follow-on Public Offer of NMDC Ltd. is fixed at Rs.300/- per equity share, which is the floor price of the Price Band of Rs.300/- to Rs.350/- per equity share. As declared earlier, Retail Investors will receive a 5% Discount on the Issue Price. Thus, Retail Investors will get Rs.15 as discount to the Issue Price of Rs.300. Consequently, the Retail Investors will get Equity Shares at Rs.285/- per equity share

The Follow-on Public Offer (FPO) of National Mineral Development Corporation (NMDC) Limited, a fully owned Government of India public enterprise, which had opened for subscription from Wednesday, March 10, 2010, had received an average response from Investors with the IPO finally getting subscribed 1.25 times on an overall basis, with major subscription coming only from the QIB Category, which was overbid 2.28 times.

The response from the other categories was also keen. Even the response from Retail Investors was unenthusiastic with the FPO managing only 22% subscription in Retail Category
